How the Commercials Work

TAG Connect Commercial Structure

Cost per Affiliate Introduction: €300.00

Master Affiliate Commission: 10%

What we do:

    1. Prospecting for new affiliates and creating an outreach list in key target markets
    2. Performing affiliate outreach
    3. Concluding commercial deals with affiliates, subject to Client agreement
    4. Onboarding affiliates to ensure they add promo materials once they have signed up

Campaign Agreement Details: 

  • Definitions:
  • *Affiliate Introduction = Referred Affiliate to Client Affiliate Programme, means a third party that was not an Affiliate prior to the Effective Date, but who becomes an Affiliate and sends new players to CLIENT (or any other company belonging to CLIENT GROUP) as a result of the TAG Connect Services provided by TAG Media. Cost Per Affiliate Introduction triggered upon affiliate activation. Affiliate activation = at the point at which Referred Affiliate has registered an affiliate account with Client Affiliate Programme, started promotion and has delivered 1 new First Time Depositing Customer
  • **Master Affiliate Commission defined as the percentage set in the Campaign Commercial Structure above, which is the percentage of the total aggregated payable commission due to all newly and previously Referred Affiliates during each calendar month, specifically a combination of all CPA fees and Revenue Share fees, as calculated by Client’s Affiliate Programme(s).
  • Upon the submission of this form, a Docusign agreement will be automatically created and distributed via email for execution by both parties. This agreement is directly in line with the commission structure set out above and in the terms set out below. Upon signature the campaign will be deemed active.

Scope of Work:

Client, through its various subsidiaries (Client Group), offers remote gaming products and services. Client uses Affiliates in its marketing purposes.
TAG Media Limited is an Affiliate marketing and strategy specialist and Digital Marketing agency, offering an affiliate business development service called TAG Connect (“TAG Connect”).
The Parties now wish to enter into a Campaign Agreement governing the TAG Connect services to be provided by TAG Media to CLIENT, with the commercial structure detailed above and in the Campaign Agreement Details set out below and the scope of work detailed in 4. below.
Scope of Work:
Prospecting for new affiliates and creating an outreach list in key target markets
Performing affiliate outreach
Concluding commercial deals with affiliates, subject to Client agreement
Onboarding affiliates to ensure they add promo materials once they have signed up

Campaign Agreement Details: 

Definitions:

**Master Affiliate Commission defined as the percentage set in the Campaign Commercial Structure above, which is the percentage of the total aggregated payable commission due to all newly and previously Referred Affiliates during each calendar month, specifically a combination of all CPA fees and Revenue Share fees, as calculated by Client’s Affiliate Programme(s).
Payment Terms & Commission Calculation:
Following the signing of this Insertion Order, the campaign will be deemed active.
Payment Terms: TAG Media will invoice on a monthly basis on (or around) 1st of the month for commission due from the previous month.
For the avoidance of doubt, commission due will be a total of: Cost Per Affiliate Introduction (number of new Referred Affiliates in that month) and Master Affiliate Commission, and will be inclusive of VAT (where client is registered in United Kingdom or Isle of Man).
Credit Terms: + 30 Days After Invoice Date
If payment of any invoice is not received by TAG Media within payment terms set out above for two successive invoices, the payment terms for future invoices will be set to credit terms of 15 days.
Term & Termination:
The Campaign will run indefinitely, starting from the Effective Date.
Either Party may terminate the Campaign by serving immediate written notice to the other Party to the Client email found above or TAG Media email in the footer.
Upon termination TAG Media will halt all onboarding of prospective Referred Affiliates.
Master Affiliate Commission will remain payable for a period of 12 full calendar months following termination, unless:
Either Party is in material breach of any term set out in this agreement
if there is a change of controlling interest of either Party
Either Party is found to have taken bribes, gifts or other incentives from any third party in relation to the Services;
Either Party behaves in a manner which in the reasonable opinion of the other Party is likely to bring the Party into disrepute or otherwise to compromise or adversely affect its reputation; or
Either Party becomes subject to any voluntary arrangement with its creditors or becomes subject to any administration order or goes into liquidation (otherwise than for the purpose of amalgamation or reconstruction); or an encumbrancer takes possession, or a receiver is appointed, of any of the property or assets of that Party.
Non-Exclusivity
Client understands that TAG Media will provide the Services on a non-exclusive basis to the Client.
The Campaign will run indefinitely, starting from the Effective Date.
Either Party may terminate the Campaign by serving a 30 day prior written notice to the other Party.
Upon termination TAG Media will halt all onboarding of prospective Referred Affiliates
Obligations:

TAG Media represents and warrants that the services provided pursuant to the campaign will be performed with reasonable skill and care, but does not warrant that the client’s use of the services will be interrupted or error-free. The Client will provide TAG Media with all information it requires to provide the services and warrants that it has all appropriate licenses and consents for TAG Media to perform its obligations pursuant to the campaign. Each Party assures the other Party they follow all international regulatory requirements for its obligations under this Campaign.

Liability:

TAG Media’s total liability to the client in respect of all breaches of duty shall not exceed the fees paid or payable by the client within the 12 month period immediately preceding the event giving rise to liability. Neither party shall be responsible for any loss of profits, loss of business, indirect, or consequential damages arising out of or in connection with this campaign, whether in contract, tort (including negligence), misrepresentation or otherwise. Neither party excludes or limits any liability that cannot legally be limited, including liability for death or personal injury, or fraud or fraudulent misrepresentation. Neither party will be responsible for any liability which is caused by a circumstance outside that party’s reasonable control.

Governing Laws & Disputes:

Any dispute or claim arising out of these Campaign Agreement terms or the campaign itself shall be governed with the laws of England & Wales and each party irrevocably agrees that the courts of England & Wales shall have exclusive jurisdiction to settle any such claim or dispute. Each party waives to the fullest extent permitted by applicable law any right it may have to a trial by jury.

Variation:

No variation of this Campaign Agreement or of any of the documents referred to herein shall be valid unless it is in writing and signed by or on behalf of each of the Parties.

Confidentiality:

Confidential Information shall remain the exclusive property of disclosing Party. Both Parties agree to hold Confidential Information in strict confidence and not to disclose such Confidential Information to any third persons, except where the other Party has granted a prior written consent for the same.
